These Terms of Service ("Terms") form a binding agreement between you and Clipto ("Clipto", "we", "us") governing your access to and use of our website, dashboard, and services (the "Service"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
You must be at least 16 years old (or the age of digital majority in your jurisdiction) and able to form a binding contract to use the Service. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.
Clipto is a content-automation platform. It monitors public TikTok accounts you specify, downloads new videos, generates optimized metadata using AI, and publishes the result to your YouTube channel through your connected Buffer account, on a schedule you configure. Features and limits depend on your plan.
You are responsible for the accuracy of your account information, for safeguarding your password and any API keys you connect, and for all activity that occurs under your account. Notify us promptly at support@clipto.io of any unauthorized use. We are not liable for losses arising from your failure to secure your credentials.
The Service integrates with third parties including Buffer (for publishing), YouTube and TikTok (as content endpoints), and blockchain networks (for payment). Your use of those services is governed by their own terms. You are responsible for maintaining valid credentials (such as your Buffer API key) and for complying with each platform’s rules. We are not responsible for changes, outages, or policy decisions made by these third parties.
You retain ownership of content you process through the Service. However, you represent and warrant that you own, or have all necessary rights, licenses, and permissions to download, modify, and republish every piece of content you route through Clipto.
Reposting content you do not have the right to use may infringe intellectual-property rights and violate the policies of TikTok and YouTube. You assume full responsibility and liability for the content you publish.

The Service uses a prepaid token model. Tokens are consumed by actions such as downloading, AI metadata generation, and publishing. Token costs per action are shown in the app and on our Pricing page and may change with notice.
Tokens are purchased on-chain in USDT and credited automatically. Plan tiers may be applied automatically based on cumulative purchases. Tokens have no cash value, are non-transferable, and — except as required by law — are non-refundable once consumed. Unused tokens may expire after 12 months of account inactivity.
Token top-ups are made by sending USDT (ERC-20) to a deposit address generated for your account. Blockchain transactions are irreversible. You are responsible for sending the correct asset on the correct network to the correct address; we cannot recover funds sent incorrectly. Credited token amounts are based on the received on-chain value at our published rate.
We aim for high availability but do not guarantee that the Service will be uninterrupted, timely, secure, or error-free. We may modify, suspend, or discontinue any part of the Service, and may impose limits on certain features, at our discretion. Scheduled maintenance and third-party outages may affect availability.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that content published through the Service will avoid copyright claims, demonetization, or removal by any platform.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLIPTO AND ITS OPERATORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUES, DATA, OR GOODWILL. Our total aggregate liability for any claim relating to the Service will not exceed the amount you paid us in the three (3) months preceding the event giving rise to the claim.
You agree to indemnify and hold harmless Clipto and its operators from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your content, your use of the Service, your violation of these Terms, or your infringement of any third-party right.
You may stop using the Service and delete your account at any time from the Settings page. We may suspend or terminate your access if you violate these Terms, create risk or legal exposure for us, or for prolonged inactivity. On termination, your right to use the Service ceases; sections that by their nature should survive (ownership, disclaimers, liability limits, indemnification) will survive.
We may update these Terms from time to time. If we make material changes, we will provide notice by email or in-app. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
These Terms are governed by applicable law without regard to conflict-of-laws principles. Any disputes will be resolved in the courts of competent jurisdiction where Clipto operates, unless otherwise required by law.
